If you interact with a Social Media Channel or submit social media content to us, we receive certain data from the applicable social media platform and we may collect certain information from the social media account you use to interact with us, including the name associated with the account, the account handle, recent activity, the content of any posts in which we are tagged, and other information that may be contained on your social media profile to allow us to respond to the posts and understand and engage with our audience. Depending on the type of information and the context in which it is used, the foregoing information may be associated with data we collect from you directly, have obtained from other sources, or have previously retained within a given user account. ELIGIBILITY

							The Site is available only to individuals and entities that can form legally binding contracts under applicable law. Without limiting the foregoing, the Site and the services offered by the Site are not available to minors. If you do not qualify, you may not use the Site. You warrant that you are 18 years of age or older to reserve a room on this Site. If you are under the age of 18 you may contact the hotel directly for assistance. By using the Site, you affirm that you are of legal age to enter into this Agreement. You also warrant that you are legally authorized to make the travel reservations and/or purchases for either yourself or for another person for whom you are authorized to act. You may only use this Site to make legitimate reservations or purchases and shall not use this Site for any other purposes, including without limitation, to make any speculative, false or fraudulent reservations, or any reservation in anticipation of demand. You understand that overuse or abuse of the reservation facilities of this Site may result in your being denied access to such facilities. We reserve the right to cancel or modify reservations where it appears that a customer has engaged in fraudulent or inappropriate activity or under other circumstances where it appears that the reservations contain or resulted from a mistake or error, or from an attempt to circumvent Night Hotel Broadway or hotel policies, terms or conditions. Some rates have special eligibility requirements such as AAA or AARP membership. It is your responsibility to verify that you qualify for the rate that you have booked. Hotels are not obligated to honor rates if you do not qualify.

JURISDICTIONAL ISSUES

							The Site is controlled or operated (or both) from the United States, and is not intended to subject Night Hotel Broadway to any non-U.S. jurisdiction or law. We make no representation that the services or products offered in the Site, or the Site itself, are appropriate or available for use in any particular location. Those who choose to access the Site do so on their own initiative and are responsible for compliance with local laws, rules and regulations, if and to the extent they are applicable. If use of the Site and/or viewing or use of any material or content therein or services offered thereby violates or infringes any applicable law in your jurisdiction(s), you are not authorized to view or use the Site and must exit immediately. Your viewing and/or use of the Site constitutes your representation that you are unconditionally and without limitation permitted to view and use the Site and the Indemnified Parties may rely upon such representation. We may limit the Site’s availability at any time, in whole or in part, to any person, geographic area or jurisdiction that we choose.

HOTEL ROOM BOOKINGS, PRODUCTS, AND PROMOTIONS

							Hotel Reservations Each hotel may have separate booking policies. Hotel bookings are handled by our vendor Sabre, through its SynXis system. Hotel reservations are subject to the terms and conditions listed when you make the reservation, and contained in any separate booking agreement between you and the hotel, the confirmation of reservation that you receive, and in the hotel’s Hotel Policies found on each hotel’s website. When you book your hotel reservation (“Hotel Reservation”), you may be asked to supply certain relevant information, such as your credit card number and its expiration date, your billing and mailing address, your email address and your phone number. You represent and warrant that you have the right to use any credit card that you submit in connection with a Hotel Reservation. By submitting such information, you grant to us the right to provide such information to third parties for purposes of facilitating Hotel Reservations. Verification of information may be required prior to the acknowledgment or completion of any Hotel Reservation. By making a Hotel Reservation, you represent that the applicable Products will be used only in a lawful manner. For additional information about how we collect and use this information, please see our Privacy Policy. Other Products The Site may make available listings, descriptions and images of goods or services or related coupons or discounts (collectively, “Products”), as well as references and links to Products. Such Products may be made available by Night Hotel Broadway or by third parties. The availability through the Site of any listing, description or image of a Product does not imply our endorsement of such Product or affiliation with the provider of such Product. We make no representations as to the completeness, accuracy or timeliness of such listings, descriptions or images (including any features, specifications and prices contained therein). Such information and the availability of any Product (including the validity of any coupon or discount) is subject to change at any time without notice. Certain weights, measures and similar descriptions are approximate and are for convenience only. We make reasonable efforts to accurately display the attributes of Products, including the applicable colors, however the actual colors you see will depend on your computer system, and we cannot guarantee that your computer will accurately display such colors. It is your responsibility to ascertain and obey all applicable local, state, federal and foreign laws (including minimum age requirements) regarding the possession, use and sale of any Product. If you wish to make a Transaction, you may be asked to supply certain relevant information, such as your credit card number and its expiration date, your billing and mailing address, your email address, and your phone number. You represent and warrant that you have the right to use any credit card that you submit in connection with a Transaction. By submitting such information, you grant to us the right to provide such information to third parties for purposes of facilitating Transactions. Verification of information may be required prior to the acknowledgment or completion of any Transaction. By making a Transaction, you represent that the applicable Products will be used only in a lawful manner. We reserve the right, including without prior notice, to limit the available quantity of or discontinue making available any Product; to impose conditions on the honoring of any coupon, discount or similar promotion; to bar any user from making any Transaction; and to refuse to provide any user with any Product. Refunds and exchanges will be subject to Company’s applicable refund and exchange policies. You agree to pay all charges incurred by you or on your behalf through the Site, at the prices in effect when such charges are incurred, including all shipping and handling charges. Tangible Products that are not provided to you in the hotel room you book will be shipped to an address designated by you, if applicable, so long as such address is complete and complies with the shipping restrictions contained on the Site. All Transactions are made pursuant to a shipment contract and, as a result, risk of loss and title for Products pass to you upon delivery of the Products to the carrier. You are responsible for filing any claims with carriers for damaged and/or lost shipments.

RULES OF CONDUCT

							In connection with the Site, you must not: • Use the Site for any purpose that is fraudulent or otherwise tortious or unlawful. • Restrict or inhibit any other person from using the Site. • Harvest or collect information about users of the Site. • Use any robot, spider, site search/retrieval application or other manual or automatic device to retrieve, index, “scrape,” “data mine” or otherwise gather Site content, or reproduce or circumvent the navigational structure or presentation of the Site, without Night Hotel Broadway’s express prior written consent. 							We are pleased to hear from our users and welcome your comments regarding the Site and the products and services offered in connection therewith. When providing any Submissions, whether in a Forum or elsewhere, it is your responsibility to comply with these Terms of Use, including without limitation the Rules of Conduct described above and the agreements below. Submissions Our long-standing company policy does not allow us to accept or consider creative ideas, suggestions, or materials other than those that we have specifically requested. "Forum" means a chat area, message board, or e-mail function offered as part of the Site. In addition, you warrant that all so-called "moral rights" in those materials have been waived. Because we are not involved in the actual transaction between buyers and suppliers, if applicable, in the event that you have a dispute with one or more users, you also on behalf of yourself, your predecessors, if applicable, and each of their present and former officers, employees, directors, shareholders, parents, subsidiaries, alter egos, affiliates, partners, agents, attorneys, accountants, heirs, executors, administrators, conservators, successors and assigns, as applicable, hereby fully and forever releases and discharges the Indemnified Parties, from any and all claims, demands, liens, actions, agreements, suits, causes of action, obligations, controversies, debts, costs, attorneys' fees, expenses, damages, judgments, orders and liabilities of whatever kind or nature in law, equity or otherwise, whether now known or suspected which have existed or may have existed, or which do exist or which hereafter can, shall or may exist, based on any facts, events or omissions occurring from any time on or prior to the execution of this Agreement which arise out of, concern, pertain or relate in any way to this Agreement or the Site. You also acknowledge that there is a possibility that subsequent to the execution of this Agreement, you will discover facts or incur or suffer claims which were unknown or unsuspected at the time this Agreement was executed, and which if known by it at that time may have materially affected its decision to execute this Agreement. You acknowledge and agree that by reason of this Agreement, and the release contained in this section of this Agreement, you are assuming any risk of such unknown facts and such unknown and unsuspected claims. You have been advised of the existence of Section 1542 of the California Civil Code ("Section 1542"), which provides: A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE DEBTOR. Notwithstanding such provisions, this release shall constitute a full release in accordance with its terms. You knowingly and voluntarily waive the provisions of Section 1542, as well as any other statute, law or rule of similar effect. In connection with such waiver and relinquishment, you acknowledge that you are aware that you may hereafter discover claims presently unknown or unsuspected, or facts in addition to or different from those which you now know or believe to be true, with respect to the matters released herein. Nevertheless, it is your intention, through this Agreement, and with the advice of counsel, fully and finally settle and release all such matters, and all claims relative thereto, which do now exist, may exist, or have existed between and among the parties hereto, including the Indemnified Parties. You hereby acknowledge that you have been advised by your legal counsel, understand and acknowledge the significance and consequence of this release and of this specific waiver of Section 1542 and other such laws.

Subject to your compliance with this Agreement, and solely for so long as you are permitted by Company to use the Site, you may view one copy of any portion of the Site to which we provide you access hereunder, on any single device, solely for your personal, non-commercial use. All materials contained in the Site are the copyrighted property of Night Hotel Broadway, or its subsidiaries or affiliated companies and/or third party licensors. No material from the Site or any Internet site owned, operated, licensed, or controlled by us or our affiliates may be copied, “scraped,” reproduced, republished, uploaded, posted, transmitted, or distributed in any way. For purposes of these terms, the use of any such material on any other Web, Internet, intranet, extranet or other site or computer environment is prohibited. All trademarks, service marks, trade names and trade dress are proprietary to us. You may not frame or utilize framing techniques to enclose any of our trademarks, logos, or other proprietary information (including images, text, page layout, or form) without our prior express written consent. You may not use our trade names, trademarks, service marks or logos in connection with any product or service that is not ours, or in any manner that is likely to cause confusion. Nothing contained on the Site should be construed as granting any right to use any trade names, trademarks, service marks or logos without the express prior written consent of the owner. We consider our trademarks to be valuable assets, and take infringement of them seriously.

TERMINATION

							This Agreement is effective until terminated. Night Hotel Broadway may terminate or suspend your use of the Site at any time and without prior notice, including if Company believes that you have violated or acted inconsistently with the letter or spirit of this Agreement. Upon any such termination or suspension, your right to use the Site will immediately cease, and Night Hotel Broadway may, without liability to you or any third party, immediately deactivate or delete your user name, password and account, and all associated materials, without any obligation to provide any further access to such materials. Notwithstanding the termination of this Agreement, you acknowledge and agree that those rights and obligations which by their nature are intended to survive the termination of this Agreement in order to be fully operative, shall survive the termination of this Agreement.

DISCLAIMERS

							All disclaimers of any kind (including in this section and elsewhere in this Agreement) are made on behalf of both Night Hotel Broadway and its affiliates and their respective members, shareholders, directors, officers, employees, affiliates, agents, representatives, licensors, suppliers and service providers (collectively, the “Affiliated Entities”). ELECTRONIC TRANSMISSIONS, INCLUDING THE INTERNET, ARE PUBLIC MEDIA, AND ANY USE OF SUCH MEDIA IS PUBLIC AND NOT PRIVATE. INFORMATION RELATED TO OR ARISING FROM SUCH USE IS PUBLIC, OR THE PROPERTY OF THOSE COLLECTING INFORMATION, AND NOT PERSONAL OR PRIVATE INFORMATION. YOU AGREE THAT YOU USE THE SITE AT YOUR OWN RISK. THE CONTENT, SERVICES AND MATERIALS IN THE SITE ARE PROVIDED "AS IS" AND ON AN "AS AVAILABLE" BASIS WITHOUT REPRESENTATIONS OR WARRANTIES OF ANY KIND EITHER EXPRESS, IMPLIED OR STATUTORY. INDEMNITY

							Except to the extent prohibited under applicable law: you agree to defend, indemnify and hold Bevereley Hotel Associates, LLC and Night Hotel Broadway and each of our and their owners, partners, subsidiaries, affiliates, franchisees and each of such person's or entities' officers, directors, agents, contractors, subcontractors, guests, residents, visitors, licensees, invitees, permittees and employees (collectively, the "Indemnified Parties") harmless from and against any and all allegations, demands, claims, liabilities, damages, fines, penalties or costs of whatsoever nature (including reasonable attorneys' fees) and whether by reason of death of or injury to any person or loss of or damage to any property or otherwise ("Claims") arising out of or in any way connected with this Agreement, the services or products provided to you by the Site or any related act or failure to act by you and whether or not occasioned or contributed to by the negligence of an Indemnified Party or any agent or employee of the Indemnified Parties or any of them (except as and to the extent prohibited by applicable law) or Claims arising from your account, including, without limitation, any Claims related to infringement by you of the intellectual property rights of any person, including without limitation, copyright, patent, trade secret, trade mark, artist rights, droit moral, privacy, publicity or rights under other intellectual property laws. In the event that any Claim is made or any action or proceeding is brought against the Indemnified Parties, or any of them, arising out of or connected with this Agreement, any such Indemnified Party may, by reasonable notice to you, require you, at your expense, to resist such Claim or take over the defense of any such action or proceeding and employ counsel for such purpose, such counsel to be subject to the prior written approval of such Indemnified Party, which approval shall be deemed to have been given hereby in the case of counsel acting for your insurance underwriters engaged in such resistance or defense. You shall cooperate with us in the defense of any Claim. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.

GOVERNING LAW; JURISDICTION; ARBITRATION

							Governing Law and Jurisdiction This Agreement is governed by and shall be construed in accordance with the laws of the State of New York, United States of America, without regard to its principles of conflicts of law, and regardless of your location. If for any reason the arbitration provisions set forth below are found by a court of law to be unenforceable, you agree to the exclusive jurisdiction of the federal and state courts located in New York County, NY, United States of America, and waive any jurisdictional, venue or inconvenient forum objections to such courts. You hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action. YOU HEREBY WAIVE ANY RIGHT YOU MAY NOW HAVE OR HEREAFTER POSSESS TO A TRIAL BY JURY. The foregoing shall not apply to the extent that applicable law in your country of residence requires application of another law and/or jurisdiction and this cannot be excluded by contract. Arbitration Except with respect to any claim or dispute involving the ownership, validity or use of any Night Hotel Broadway trademarks or service marks, any dispute arising out of or related to this Agreement or documents, data, information and other materials contained on the Site (“Materials”) (including any claim that any provision of this Agreement or Materials are invalid, illegal, or otherwise voidable or void), seeking as relief money damages and/or attorneys’ fees or other damages will be submitted for arbitration to the American Arbitration Association (AAA). Night Hotel Broadway shall have the right in a proper case to obtain temporary restraining orders, temporary or preliminary injunctive relief and/or declaratory relief (other than declarations with respect to the amount of money damages) from a court of competent jurisdiction. The arbitration proceedings shall be heard by one independent arbitrator who shall be an attorney or retired judge. The arbitration shall be held in New York, New York and in accordance with the then-existing Commercial Arbitration Rules of the AAA. All matters within the scope of the Federal Arbitration Act (9 U.S.C. 1, et seq.) will be governed by it and not by any state arbitration law. You and Night Hotel Broadway waive any rights to maintain other available resolution processes for such disputes, such as a court action or administrative proceeding, to settle disputes. You and Night Hotel Broadway waive any right to a jury trial for such disputes. The rules in arbitration are different from the rules that apply in court. There is no judge or jury, and review is limited, but an arbitrator can award the same damages and relief, and must honor the same limitations stated in the Agreement, as a court would. In reaching his or her decision, the arbitrator shall follow this Agreement and Materials, shall be bound to apply the applicable law and shall not rule inconsistently with the applicable law. The arbitration shall be conducted on an individual basis, and not as a consolidated, common, representative, group or class. The arbitrator shall include in his or her award any relief he or she deems proper in terms of money damages (with interest on unpaid amounts from the date due at the maximum rate allowed by law), and attorneys’ fees and costs. The award of the arbitrator shall be conclusive and binding upon all parties hereto and judgment upon the award may be entered in any court of competent jurisdiction. Confidential. Other than as may be required by law, the entire arbitration proceedings (including, but not limited to, any rulings, decisions or orders of the arbitrator), shall remain confidential and not be disclosed to anyone other than the parties to this Agreement. Limitations Period. Any and all claims and actions arising out of or relating to this Agreement or Materials shall be commenced within one (1) year from the occurrence of the facts giving rise to such claim or action, or such claim or action shall be barred. This Limitations Period section does not apply to residents of New Jersey. Class Action Waiver. All disputes which cannot be resolved between the parties, and causes of action arising out of or connected with the Site, shall be resolved individually, without resort to any form of class action. You agree that you will not file a class action against Night Hotel Broadway, or participate in a class action against Night Hotel Broadway. You agree that you will not file or seek a class arbitration, or participate in a class arbitration, against Night Hotel Broadway. Severability If any provision of this Agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this Agreement and shall not affect the validity and enforceability of any remaining provisions. This is the entire agreement between us relating to the subject matter herein and shall not be modified except as otherwise set forth herein. No waiver of any term, provision or condition of this Agreement, whether by conduct or otherwise, in any one or more instances, shall be deemed to be, or shall constitute, a waiver of any other term, provision or condition hereof, whether or not similar, nor shall any waiver constitute a continuing waiver of any such term, provision or condition hereof. No waiver shall be binding unless executed in writing by the party making the waiver.

COPYRIGHT INFRINGEMENT CLAIMS

							The Digital Millennium Copyright Act of 1998 (the “DMCA”) provides recourse for copyright owners who believe that material appearing on the Internet infringes their rights under U.S. copyright law. DIGITAL SIGNATURE

							You represent and warrant that you have the legal right, power and authority to agree to the terms of this Agreement on behalf of yourself and the member, buyer or supplier participating in the Site. You further agree that your use constitutes an electronic signature as defined by the Electronic Signatures in Global and National Commerce Act ("E-Sign") and the Uniform Electronic Transactions Act ("UETA") and that you have formed, executed, entered into, accepted the terms of and otherwise authenticated this Agreement and acknowledged and agreed that this Agreement is an electronic record for purposes of E-Sign, UETA and the Uniform Computer Information Transactions Act and as such is completely valid, has legal effect, is enforceable, and is binding on, and non-refutable by you and the member, buyer or supplier on whose behalf you are acting.

MISCELLANEOUS

							You and Night Hotel Broadway are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement. If any provision of this Agreement is found to be unlawful, void or for any reason unenforceable, that provision will be deemed severable from this Agreement and will not affect the validity and enforceability of any remaining provision. You may not assign, transfer or sublicense any or all of your rights or obligations under this Agreement without our express prior written consent. We may assign, transfer or sublicense any or all of our rights or obligations under this Agreement without restriction. No waiver by either party of any breach or default hereunder will be deemed to be a waiver of any preceding or subsequent breach or default. Any heading, caption or section title contained herein is for convenience only, and in no way defines or explains any section or provision. All terms defined in the singular shall have the same meanings when used in the plural, where appropriate and unless otherwise specified. Any use of the term “including” or variations thereof in this Agreement shall be construed as if followed by the phrase “without limitation.” This Agreement, including any terms and conditions incorporated herein, is the entire agreement between you and Night Hotel Broadway relating to the subject matter hereof, and supersedes any and all prior or contemporaneous written or oral agreements or understandings between you and Night Hotel Broadway relating to such subject matter. Notices to you (including notices of changes to this Agreement) may be made via posting to the Site or by e-mail (including in each case via links), or by regular mail. Without limitation, a printed version of this Agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. Night Hotel Broadway will not be responsible for any failure to fulfill any obligation due to any cause beyond its control.

MESSAGE AND DATA RATES

							Message and data rates may apply to each text message sent or received in connection with Night Hotel Broadway text messages, in addition to any applicable roaming charges. Not all carriers covered and supported carriers may change from time to time. Night Hotel Broadway does not guarantee availability or performance of the text message service and you understand that transmission delays and message failures may occur.

STOP RECEIVING MESSAGES

							To stop receiving text messages, text STOP to the phone number from which you received the text message. You will receive a text confirming your opt-out. You can also inform your hotel’s front desk of your request to opt-out. To request additional information or to get help, text HELP to the phone number from which you received the text message. As of the last update of this Terms of Use, Night Hotel Broadway’s SMS technology platforms and systems are hotel-specific. You will need to request that each hotel stop sending messages on a hotel by hotel basis, either by texting STOP to the phone number for each hotel from which you received the text messages or contacting the hotel’s front desk. To opt-out of the SMS communications from all Night Hotel Broadway hotels, please contact customer_privacy@dreamhotelgroup.com and provide detailed information to be opted-out of SMS communication from all Night Hotel Broadway properties, including the phone number.

PHONE NUMBER CHANGE

							You represent that you are the account holder for the telephone number(s) that you provide. You are responsible for notifying Night Hotel Broadway immediately if you change your mobile telephone number. You may notify Night Hotel Broadway of a number change by informing the hotel front desk. You agree to indemnify Night Hotel Broadway for any claims, expenses, and/or damages related to or caused in whole or in part by your failure to notify Night Hotel Broadway if you change your telephone number, including, but not limited to, all claims, expenses, and damages related to or arising under the Telephone Consumer Protection Act.

SMS DELAYS OR SUSPENSION

							SMS text message notifications may be delayed or not received during regional emergencies or other periods of high messaging traffic. Night Hotel Broadway may suspend or terminate your receipt of Night Hotel Broadway text messages at any time. Night Hotel Broadway reserves the right to modify or discontinue, temporarily or permanently, all or any part of Night Hotel Broadway text message services, with or without notice.

THIRD PARTY SERVICE PROVIDERS

							Night Hotel Broadway uses third-party SMS service providers and platforms, including ALICE, HotSOS, Open Table, SevenRooms, TravelClick Guest Messenger, and TrustYou, to provide SMS services to our guests and patrons.
